These Terms of Service ("Terms") govern your use of REPSAgent, operated by Shah Holdings LLC ("we", "us", or "our"), a California limited liability company. By creating an account or using REPSAgent you agree to these Terms. If you do not agree, do not use the service.
REPSAgent is a software-as-a-service tool that helps real estate professionals track, log, and export hours for Real Estate Professional (REP) tax status purposes. REPSAgent is a productivity tool only and does not constitute tax, legal, or financial advice. Always consult a qualified CPA or tax advisor regarding your REP status.
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@repsagent.net if you suspect unauthorized access.
You must be at least 18 years old to use REPSAgent.
Free plan. The free plan is limited to 1 property and up to 100 log entries. We may modify free plan limits at any time with reasonable notice.
Pro plan. The Pro plan is available on a monthly ($12/month) or annual ($120/year) subscription, billed in advance. Prices are subject to change with 30 days notice.
Payments. All payments are processed by Stripe. By subscribing you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation. You may cancel your subscription at any time through the billing portal in your dashboard. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
Taxes. Prices may be subject to applicable sales tax depending on your location, calculated at checkout.

You own the activity logs and data you submit to REPSAgent. By using the service you grant us a limited license to store and process your data solely to provide the service. You are responsible for the accuracy of your logs. We recommend exporting your data regularly as a backup.
REPSAgent, including its software, design, and content, is owned by Shah Holdings LLC and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute any part of the service without our written permission.
REPSAgent is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that the results obtained will be accurate or reliable. Your use of the service is at your sole risk.
To the maximum extent permitted by California law, Shah Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of REPSAgent. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Shah Holdings LLC and its members, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the service or violation of these Terms.
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or non-payment. You may delete your account at any time by contacting support@repsagent.net. Upon termination, your right to use the service ceases immediately.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in California.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the site at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance.
